Key Findings:

  • Dealmaking Slowdown Deepens as Q3 Activity Hits Five-Year Low: Deal volume fell 25% YoY to 296 transactions. A sluggish start to the year was compounded by Q3 activity falling to its lowest level since 2020, driven by sharp declines in venture capital (-35%) and private debt (-27%).

  • Investment Value Climbs as Larger Transactions Continue to Dominate Capital Deployment: Deal value rose 31% YoY to US$4.6bn, surpassing the three-year Q1-Q3 average of US$3.6bn. However, growth remained concentrated at the upper end of the market, with the number of large deals doubling and accounting for 52% of capital deployed, while deals below US$50mn declined by 28%.

  • Venture Capital Decline Deepens as Large Deals Sustain Dealmaking: Despite a 35% YoY decline in dealmaking, larger transactions buoyed VC investment value, accounting for 46% of total capital deployed. Private Equity activity edged up 7% while a weak Q3 led to a 38% decline in private debt dealmaking.

  • Fintech Slowdown Weighs on Financials and Technology as Capital Shifts: Weaker fintech and tech dealmaking drove the sharpest declines across Financials (-39%) and Technology (-52%), while Energy (23%) and Business Services (24%) accounted for nearly half of capital deployed.

  • Mid-Market Funds Drive Renewed Fundraising Momentum: Final close fundraising rose 40% YoY to US$2.1bn, supported by a record 16 fund closes and a sixfold increase in US$100mn–US$250mn funds, which accounted for 56% of capital raised. Fundraising timelines shortened to 1.8 years from 2.4 years, signalling improving fundraising conditions.

  • Exits Remain Resilient as Trade Sales Sustain Growth: Exit volume eased 11% YoY to 50, however remaining above historical averages. Trade sales extended their three-year growth streak, while management buyouts declined 80% YoY to lowest levels.
