Requirements:
Education
Master’s degree in Law (Business Law, International Law, Contract Law or equivalent). Capacity in Common Law.
Experience
4–8 years of experience as:
In-house counsel in energy / infrastructure, and/or
Lawyer in a law firm (project finance, M&A, projects).
Fluent in English (French language is a plus).
Proven experience in project development, construction contracts, or financing transactions.
Experience in English-speaking countries in Africa.

Overall Mission
To provide end-to-end legal support to Axian Energy’s project teams (Development, M&A, Finance, Construction, Operations). The role covers early-stage development, project structuring, project finance, contract negotiation, and regulatory compliance, ensuring the legal security and performance of all energy projects across Africa.
Early-Stage Development Support
Conduct preliminary legal assessments of new opportunities.
Coordinate and review due diligence processes.
Draft, review, and negotiate early-stage project documents (MoUs, Term Sheets, Letters of Intent, partnership agreements, etc.).
Support Development teams.
Project Structuring / Corporate Governance
Advise on corporate structuring of Special Purpose Vehicles, holding companies, and joint ventures.
Draft and review corporate documentation (Shareholders’ Agreements, Articles of Association, Board and shareholders’ resolutions, etc.).
Manage legal aspects of entity setup in multiple jurisdictions.
Liaise with external counsel for corporate, tax, and regulatory matters.
Ensure governance and compliance of project entities.
Project Finance (Debt Financing & Financial Close)
Review key project agreements (PPA, EPC, O&M, land contract, etc.) tied to financing.
Manage conditions precedent (CPs) until financial close.
Ensure consistency between project contracts and finance documents (CFA, security documents, intercreditor).
Regulatory & Internal Governance
Advise on licensing, permitting, environmental obligations, and sector-specific regulations.
Prepare legal notes, project reports, and briefings for internal committees.
Manage and supervise external counsel (scope, costs, deliverables).
